Eshbal withdraws acquisition bid for Gluten Free Nation after deal falls through

The transaction “did not mature to a final agreement,” according to statements from both companies.

CANADA – Eshbal Functional Food Inc., a Vancouver-based food tech company specializing in gluten-free and better-for-you baked goods, has officially ended its pursuit of acquiring Gluten Free Nation, a Texas-based commercial bakery well known for sweet and savory gluten-free baked goods.

The decision follows the breakdown of negotiations between the two parties, despite a binding letter of intent signed in early July to fully acquire Gluten Free Nation’s equity with plans to integrate its product line and leverage customer relationships to boost Eshbal’s North American presence.

Gluten Free Nation, operating under Starcall Broadcasting LLC, is recognized for its extensive range of gluten-free sweet and savory baked goods, including hot dog buns, English muffins, blueberry muffins, lemon pound cake, pumpkin bread, and cookies.

Founded in 2010 by Randi Markowitz, the company has built a strong retail and foodservice presence across 49 U.S. states, with distribution through major outlets such as Walmart.com, Kroger, Safeway, HEB, and Fresh Thyme Market.

Eshbal had initially viewed the acquisition as a strategic opportunity to expand its North American footprint and integrate its own gluten-free product lines into Gluten Free Nation’s established sales and distribution channels.

The deal was expected to create commercial synergies and accelerate Eshbal’s growth in the U.S. market.

However, the transaction “did not mature to a final agreement,” according to statements from both companies.

No further details were disclosed regarding the breakdown, but the failed acquisition comes amid Eshbal’s broader efforts to scale its operations following its public listing on the TSX Venture Exchange in April.

Eshbal operates a 60,000-square-foot facility and produces over 300 SKUs, including more than 80 proprietary gluten-free items, ranging from pita bread and cookies to baking mixes and protein snacks.

The company has been actively pursuing strategic acquisitions to triple its revenue in North America over the next two years.

Despite the setback, Eshbal remains focused on its growth strategy.

In July, the company signed a separate letter of intent to acquire a majority stake in Dare to Be Different Foods, a U.S.-based low-carb and gluten-free brand.

Additionally, last month, Eshbal expanded its growth strategy for Gluten-Free Pita Bread local manufacturing in North America.

These moves underscores Eshbal’s continued commitment to expanding its product portfolio and market reach.

While the pursuit of Gluten Free Nation has ended, Eshbal’s ambitions in the gluten-free space remain firmly intact, with new partnerships and acquisitions likely to shape its next chapter in North America’s competitive health-focused food sector.
