The acquisition includes three production facilities located in Carrington, North Dakota; New Hope, Minnesota; and Winchester, Virginia, along with the well-known Ronzoni retail pasta brand.
The transaction is expected to close on July 1.
Notably, net sales for the second quarter decreased 2.3% to US$1.95 billion from US$2 billion in the previous year.
The Cobourg facility in Ontario and the Sparks facility in Nevada employ approximately 300 people.
