The acquisition strengthens Annapurna Swadisht Limited’s product portfolio and positions it for expansion in both domestic and international markets.

INDIA – Annapurna Swadisht Limited (ASL), a Kolkata-headquartered packaged foods company, has announced the acquisition of a majority stake in Andri Agro Foods Pvt Ltd (AAFPL), a West Bengal–based manufacturer of soya-based products.
The deal, valued at an enterprise worth of ₹15 crore (US$1.66M), involves ASL purchasing 75% of AAFPL’s equity share capital, making Andri Agro a subsidiary of Annapurna Swadisht.
The transaction was disclosed in filings to the stock exchanges earlier this month.
Founded in Raniganj, West Bengal, Andri Agro Foods operates a manufacturing facility with an annual production capacity of 4.2 lakh tonnes.
The company specializes in soya chunks, textured vegetable protein (TVP), soya granules, and other value-added agro-food products, which are increasingly popular as affordable, high-protein alternatives in Indian households.
With this acquisition, Annapurna Swadisht aims to leverage its extensive distribution network to boost production volumes and expand the reach of Andri Agro’s product lines.
ASL’s Chairman and Managing Director, Shreeram Bagla, emphasized that the acquisition is a strategic move to diversify the company’s portfolio and establish a strong presence in the soya-based foods market.
“The acquisition of Andri Agro Foods will enable us to establish our presence in the soya-based products market in India and overseas. It will also help us enter the grocery segment through bulk and premium namkeen products,” said Shreeram Bagla, Chairman and Managing Director of Annapurna Swadisht.
The deal is expected to open new export avenues for Annapurna’s existing product range while also boosting sales of namkeen and soya-based offerings.
The two companies are targeting a combined turnover of ₹50 – 60 crore (US$ 5.54 – US$6.6M) at around 60% capacity utilisation of the acquired plant.
The deal reflects broader trends in India’s packaged food industry, where rising consumer demand for plant-based proteins and convenient food formats is driving investment in niche categories.
With the acquisition, Annapurna Swadisht is set to accelerate growth in the plant-based foods sector, reinforcing its ambition to become a leading player in India’s evolving agri-food landscape.
The integration of Andri Agro’s operations is expected to be completed in the coming months, paving the way for new product launches and expanded market penetration.
